These Terms of Service ("Terms") govern the access to and use of the payment acceptance services, payment terminals, software, and related products and services (collectively, the "Services") provided by DigitPay Pte. Ltd. ("DigitPay", "we", "us", or "our").

By accessing, signing up for, or using any part of the Services, you ("Merchant", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Scope of Services

DigitPay provides merchants with:

  • Payment acceptance solutions enabling the processing of card-based and alternative payment method transactions;

  • Payment terminals and related hardware;

  • Transaction routing, reporting, reconciliation, and settlement support;

  • Optional integrated billing and Point-of-Sale (POS) software solutions;

  • Ancillary services including onboarding support, merchant dashboards, and customer support.

DigitPay operates as a technology and service provider facilitating access to regulated payment processing infrastructure through its platform and partners. DigitPay does not itself act as a bank or card scheme.

2. Merchant Eligibility and Onboarding

2.1 Eligibility
You represent and warrant that:

  • You are a legally registered business entity;

  • You have full authority to enter into these Terms;

  • Your business activities comply with all applicable laws and regulations.

2.2 Onboarding and Due Diligence
Access to the Services is subject to successful completion of DigitPay’s onboarding, verification, and ongoing compliance checks. DigitPay reserves the right to request additional documentation at any time and to suspend or terminate Services if requirements are not met.

3. Payment Processing Services

3.1 Transaction Processing
DigitPay enables the electronic acceptance of payments initiated by customers using supported payment methods. Transaction authorisation, clearing, and settlement are performed through regulated financial institutions and payment networks.

3.2 Settlement of Funds
Transaction proceeds are settled to the bank account nominated by the Merchant, subject to applicable settlement cycles, fees, chargebacks, reversals, and regulatory or risk-related holds.

3.3 No Custody of Funds
Unless expressly agreed otherwise in writing, DigitPay does not hold, store, or safeguard customer funds. Settlement is facilitated via third-party financial institutions.

4. Fees and Merchant Discount Rates (MDR)

4.1 Standard Fees
The Merchant agrees to pay the applicable Merchant Discount Rate (MDR), transaction fees, terminal rental fees (if any), and other charges as communicated during onboarding or agreed in writing.

4.2 Integrated POS and Add-On Services
Merchants who opt to use DigitPay’s integrated billing or Point-of-Sale (POS) software in conjunction with DigitPay payment terminals acknowledge that:

  • The integrated POS offering constitutes an enhanced, value-added service;

  • A higher MDR or additional service fee may apply compared to terminal-only payment processing;

  • Fees may vary depending on functionality, integrations, transaction volumes, and commercial agreements.

4.3 Fee Adjustments
DigitPay reserves the right to revise fees with prior notice, subject to contractual and regulatory requirements.

5. Online Payment Services

5.1 Scope of Online Payments
DigitPay may provide online payment acceptance services, including payment links, hosted checkout pages, APIs, or other digital payment interfaces ("Online Payments"). These services enable Merchants to accept payments from customers through websites, mobile applications, or remote channels.

5.2 Fees and Fixed Charges
In addition to the applicable Merchant Discount Rate (MDR), Online Payments may be subject to a fixed per-transaction fee. The applicable fixed fee and MDR shall be communicated during onboarding or agreed in writing and may vary based on payment method, risk profile, and transaction volumes.

5.3 Currency Limitations
All Online Payment transactions processed through DigitPay shall be denominated and settled exclusively in Singapore Dollars (SGD). Multi-currency processing is not supported unless expressly agreed in writing.

DigitPay may offer tokenisation services that allow customer payment credentials to be securely stored and replaced with tokens for fu

5.1 Functionality
DigitPay’s POS software may include features such as billing, item management, tax configuration, receipt generation, reporting, and integration with payment terminals.

5.2 Third-Party Integrations
Certain POS features may rely on third-party systems or integrations. DigitPay does not guarantee the availability or performance of such third-party services.

5.3 License
DigitPay grants the Merchant a limited, non-exclusive, non-transferable, revocable license to use the POS software solely for internal business purposes during the term of the agreement.

6. Merchant Obligations

The Merchant agrees to:

  • Use the Services only for lawful and authorised transactions;

  • Ensure accurate transaction amounts and proper disclosure to customers;

  • Maintain secure access to terminals, credentials, and systems;

  • Comply with card scheme rules, payment network requirements, and applicable data protection laws;

  • Promptly notify DigitPay of suspected fraud, security incidents, or unauthorised access.

7. Chargebacks, Refunds, and Disputes

7.1 Chargebacks
Merchants are financially responsible for all chargebacks, retrieval requests, refunds, fines, and penalties arising from their transactions.

7.2 Right of Set-Off
DigitPay may deduct chargeback amounts, fees, or other liabilities from settlement proceeds or request separate payment from the Merchant.

8. Compliance, Risk, and Monitoring

DigitPay may monitor transactions and merchant activity for risk, fraud prevention, and regulatory compliance. DigitPay reserves the right to:

  • Suspend transactions;

  • Impose limits;

  • Withhold settlements; or

  • Terminate Services,

where required to manage risk or comply with legal or regulatory obligations.

9. Data Protection and Security

9.1 Data Usage
DigitPay processes personal and transactional data in accordance with applicable data protection laws and its Privacy Policy.

9.2 Security Standards
Merchants must comply with applicable security standards, including payment card data security requirements, and must not store sensitive authentication data unless expressly permitted.

10. Intellectual Property

All intellectual property rights in the Services, terminals, software, documentation, and branding belong to DigitPay or its licensors. No rights are granted except as expressly stated in these Terms.

11. Term and Termination

11.1 Term
These Terms commence upon acceptance and continue until terminated.

11.2 Termination by DigitPay
DigitPay may suspend or terminate the Services immediately upon breach, risk concerns, regulatory requirements, or non-payment.

11.3 Termination by Merchant
The Merchant may terminate the Services with prior written notice, subject to outstanding obligations and applicable notice periods.

12. Limitation of Liability

To the maximum extent permitted by law, DigitPay shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data. DigitPay’s aggregate liability shall not exceed the fees paid by the Merchant in the three (3) months preceding the claim.

13. Indemnification

The Merchant agrees to indemnify and hold harmless DigitPay from any claims, losses, fines, or damages arising from:

  • The Merchant’s business activities;

  • Breach of these Terms;

  • Violation of laws or payment network rules.

14. Amendments

DigitPay may amend these Terms from time to time. Updated Terms will be published on DigitPay’s website and continued use of the Services constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore. The courts of Singapore shall have exclusive jurisdiction over any disputes.
